DESIGN STORE. THEY DO NOT APPLY TO RESELLERS (BUSINESS-TO-BUSINESS
MEMBERS).

General information
The following “Standard Terms and Conditions”
apply exclusively to Member accounts for use at the
Carelli Design Store (when purchasing products online
or by phone). A Member Account helps simplify the
online experience and is required to purchase products
online.
STANDARD TERMS AND CONDITIONS
Acceptance
Unless otherwise specified in writing and signed by
a duly authorized representative of Carelli International
Corporation (“We” or “CI”),
all contracts, orders, shipments or services performed
by CI or the online store (“Carelli Design Store”)
are governed by the Standard Terms and Conditions (“Terms
and Conditions”) set forth herein, and shall be
applicable whether or not they are attached to or enclosed
with the products to be sold. The purchase of any product
will constitute acceptance of the Terms and Conditions.
Purchaser (“You”) assumes full responsibility
for any agent, person or broker acting on the behalf
of Purchaser.

the hours of 9 a.m. and 6 p.m. Pacific Standard Time
Monday through Friday. Order status information concerning
an order you have already placed with the Carelli Design
Store is available via Member
Services under your account anytime 24/7. This information
is also made available by email
or by phone.
Sales within
the United States
The Carelli Design Store sells and ships products only
within the continental United States, Alaska, and Hawaii.
We will not ship to PO BOX, APO or FPO addresses, United
States territories, or addresses outside the United
States.
Return & refund
policy
Product may be returned within 30 calendar days. If
you are not satisfied with your purchase, please call
1-800-464-2800 (select 511 for Customer Service)
for a Return Material Authorization (RMA) request within
fifteen (15) calendar days of the receipt of the product.
If the item is returned unused in the original box,
we will exchange it or offer you a refund based on your
original method of payment. The product must be returned
to us within fifteen (15) calendar days of our issuance
of the RMA. Returned products must be in new condition
and packed in the original, unmarked packaging, including
any accessories, manuals and documentation that shipped
with the product. Shipping and handling fees are not
refundable, including a shipment refused at time of
delivery. We can not accept returns or exchanges of
our products purchased from other vendors. Please refer
to their return/refund policy.
We do not permit the return of, or offer refunds for,
the following products:
(1) Personalized or custom ordered products
(2) A product that is custom-configured to your specifications
(3) Software or digital content (electronically
downloaded products)
Tracking returned
products
We always recommend that you use a carrier that offers
shipment tracking capabilities for all returns, and
either insure your package for safe return to us or
declare the full value of the shipment so that you are
completely protected if the shipment is lost or damaged
in transit. If you do not use a carrier that offers
tracking, and insure or declare the full value of the
product, you will be responsible for any loss or damage
to the product during shipment. Please note that we
do not recommend returning products via the United States
Postal Service (USPS). The USPS offers limited tracking
capabilities and there is a 30-calendar-day waiting
period before they will initiate a trace for lost packages.

arranging for a product return.
Defective products
Carelli branded products
If you discover what you believe is a product defect
with any Carelli-branded product, please call 1-800-464-2800
(select 511 for Customer Service) between the
hours of 9 a.m. and 6 p.m. Pacific Standard Time Monday
through Friday. For information about product warranties,
refer to the warranty information and other supporting
documentation that came with your product (See our Product
Warranty section for specific information about
product warranties).
Non-Carelli branded/Third-party products
If you discover what you believe is a product defect
with any Third-party product, please contact the Third-party
manufacturer directly for information concerning applicable
warranties. Products sold through the Carelli Design
Store website which does not bear the Carelli brand
name are serviced and supported exclusively by their
manufacturers in accordance with the terms and conditions
packaged with the product(s). The Standard one-year
Limited Warranty for online purchases through the Carelli
Design Store does not apply to products that are not
Carelli branded, even if packaged or sold with Carelli
branded products. Please contact the manufacturer directly
for technical support for such products.
Downloaded products
Using your valid Member Account, you can select downloadable
software products and digital content for purchase at
the Carelli Design Store. At the time of checkout, we
will obtain an authorization from the credit card you
provide us. Once the credit card authorization process
has been completed, you will receive instructions in
the form of a link by email to begin downloading the
item purchased. If the transmission is interrupted in
any way during the download, you can use your Member
User ID and Password Key to begin the downloading process
again. Shortly after you complete your order, you will
receive a confirmation email with your order number
and purchase details. Please note electronic downloaded
products are non-refundable.
Order confirmation
Shortly after you submit your order, you will receive
a confirmation email with your order number and purchase
details (if you have provided a valid email address
with your order). If you have not provided an email
address, you will receive a confirmation of your order
by regular mail when your order is shipped.
Special order products
For custom ordered products or products that are to
be custom-configured to your specifications, we encourage
you to review your order carefully. Since the product
is built to your specifications, the order cannot be
changed, modified or canceled once your order is placed
into production.
Payment by credit
card
The Carelli Design Store accepts Visa, MasterCard and
American Express. You may pay by credit card regardless
of which ordering method you use (online or by phone).
At the time your order is placed, we obtain a pre-approval
from the credit card company for the amount of your
order. The eventual credit card charge occurs when your
order ships, not before. Please note that we are unable
to accept credit cards issued by banks outside of the
United States. Although we accepted Debit cards and
Check cards, they often have a daily spending limit
that may substantially delay the processing of your
order.
Credit card
verification CVN
We require the Credit card Verification Number (“CVN”)
located on your credit card for any telephone or online
purchase. The credit card verification number is a unique
three or four digit number specific to your credit card
that is either printed on the face of your card above
the embossed account number (American Express), or on
the back of your card, on the signature panel (Visa,
MasterCard or Discover). Asking for and confirming your
credit card verification number helps validate that
you are in the possession of your credit card, and protects
you from unauthorized use of your account.
Other forms of payment
We will accept a cashier's check or money order as
a valid form of payment. Personal or business checks
are not accepted. The cashier's check or money order
must be payable to Carelli International Corporation.
We ask that you include your online order confirmation
number or a copy of your order. Please mail your payment

Payments must be received within ten (10) calendar
days from your order date or the order will be canceled.
Please allow two (2) business days for order processing
upon receipt of your payment.
Sales Tax
Purchases will only include sales tax for orders shipped
to California. You will see the total sales tax charged
on your order during the checkout process before you
confirm your order. If you phone in your order, we will
provide you an estimated total of your order including
sales tax and any applicable shipping charges.
ORDERS SHIPPED TO CALIFORNIA: Order totals calculated
during checkout show estimated sales tax. The actual
final tax amount will appear on the final invoice, based
on State tax rates and rules applicable when the order
was placed.
Resale and
tax-exempt accounts
Resellers and tax-exempt organizations are required
to provide us with a copy of their resale certificate,
exemption certificate, or proof of exempt status for
the state where purchased products will be shipped.
Non-profit organizations should provide proof of their
501(c)(3) status or other acceptable exemption certification.
Federal agencies should provide a federal tax ID certificate.
Shipping options
We ship via FedEx, UPS and Commercial Carriers. Unless
a specific shipping method is indicated on your order
(optional during checkout on most products), items are
shipped UPS or FedEX Standard Ground (requiring typically
3-5 business days within the United States).
We offer four (4) convenient shipping options:
Next Day Delivery—package(s) will be delivered
the next business day after shipment*
Second Day Delivery—package(s) will arrive 2
business days after shipment*
Ground Shipping—package(s) will arrive within
10 business days of shipment*
Commercial Carrier—package(s) will arrive as
defined in the order confirmation details**

*Shipment times are based on when your package leaves
our facility, not when your order is placed.
**Shipment primarily concerning volume reseller accounts.
Items in your order may ship from multiple locations
and you may receive packages separately. You will not
be charged extra for multiple packages.
Order processing
The estimated shipment date provided online is based
on product availability, payment processing and our
internal warehouse processing time, and does not include
transit (shipping) time. The estimated delivery
date is based on the anticipated time in transit. Payment
processing will not begin until we receive all the information
required (full payment or full authorization in the
case of credit card order). Orders placed on a weekend
or a holiday will begin payment processing the next
business day (Monday through Friday). Orders
for in-stock items that are eligible for same-day shipping
must be received before 12:00 p.m. PST.
Pricing policy
We make every effort to offer customers competitive
prices on unique products through the Carelli Design
Store. Total order amounts will include the price of
the product plus any applicable sales tax and shipping
charges. We reserve the right to change prices for products
offered at the Carelli Design Store at any time.
Should the Carelli Design Store reduce its price on
any product within fourteen (14) calendar days of your
shipment, you may contact us to request a refund or
credit of the difference between the price you were
charged and the current selling price. To receive the
refund or credit you must contact us within fourteen
(14) business days of your shipment.
Product availability
We make every effort to ship your product according
to the estimated shipment date provided online. Orders
placed on a weekend or a holiday will begin processing
the next business day (Monday through Friday).
Please note unanticipated changes in supply can affect
product availability. Order status information is available
via Member
Services under your account anytime 24/7. This information
is also made available by email
or by phone.
We reserve the right to discontinue products without
notice.
Product warranty
All Carelli branded products are shipped with a product-specific
warranty and therefore take precedence over the Standard
one-year Limited Warranty provided for products purchased
online. Refer to the specific warranty enclosed with
the product(s) purchased. Our Standard one-year Limited
Warranty applies to items such as replacement parts,
components and accessories, and is in force only when
no other associated warranties exist. For information
concerning the warranty in effect for a particular product,
including its limitations and exclusions, before you
purchase, call 1-800-464-2800 (select 511 for Customer
Service) between the hours of 9 a.m. and 6 p.m.
Pacific Standard Time Monday through Friday.
Non-Carelli-branded/Third-party products are sold "AS
IS," but may be accompanied by their manufacturers'
standard warranties. "AS IS" products are
sold as is, where is, and with all faults, and without
express or implied warranties from the Carelli Design
Store or Carelli International Corporation. If you have
questions about any manufacturers' warranties that accompany
such products, please contact the Third-party manufacturer
directly.
Note: Products sold through the Carelli Design Store
website which do not bear the Carelli brand name are
serviced and supported exclusively by their manufacturers
in accordance with the terms and conditions packaged
with the product(s). The Standard one-year Limited Warranty
for online purchases through the Carelli Design Store
does not apply to products that are not Carelli branded,
even if packaged or sold with Carelli branded products.
Please contact the manufacturer directly for technical
support for such products.
Applicable law
The Terms and Conditions shall be construed and controlled
by the laws of the State of California, and the parties
further consent to exclusive jurisdiction and venue
in the federal courts sitting in Los Angeles County,
California, unless no federal subject matter jurisdiction
exists, in which case the parties consent to the exclusive
jurisdiction and venue in the Superior Court of Los
Angeles County, California.
Trademarks
CI does not grant any express right to Purchaser, by
implication, or otherwise, any permission, license or
right to use any trademark, service mark or trade name
of CI. The use of any CI logo or mark is strictly prohibited
unless consented to in writing by CI.
ANY UNAUTHORIZED USE OF THESE MATERIALS MAY VIOLATE
COPYRIGHT, TRADEMARK AND PRIVACY LAWS, AND OTHER APPLICABLE
STATUTES.
